The Confirmation Statement: What It Is and How to File It

Do you own a business? If so, you will need to file a confirmation statement. 

This document is used to show that your company is still in good standing and is operating according to the law. 

In this blog post, we will discuss what a confirmation statement is and how to file it.

What is a Confirmation Statement?


A confirmation statement is a document that is submitted to the government in order to show that your business remains in good standing. This means that it has met all of its legal requirements and continues to operate according to the law. 

Every company, whether it is operational or not, must file a confirmation statement. This form ensures that the information we have on record for your business is accurate. You must file a statement at least once a year, but you may choose to file more often.

How to File a Confirmation Statement?


In order to file a confirmation statement, you must first register for an online account with Companies House. Once you have done this, you can log in and fill out the confirmation statement. You will need to provide details about your company, such as its name and address, registered office address (if applicable), and the details of each director. 

The confirmation statement must be signed by a company officer or authorised representative before it can be submitted. You will also need to provide payment for the filing fee, after which your confirmation statement will be processed. Once approved, you will receive an email notification with a copy of your statement.

You can send your confirmation statement online or by post. It costs £13 to file your confirmation statement online, and £40 by post.

Details to Check


The following details need to be checked:

– The registered office’s details, directors, secretary, and recordkeeping address 

shareholder information and statement of capital if the company has shares 

SIC code (identifies company purpose) 

– register of people with significant control (PSC) 

Even if your company has not undergone any changes during the review period, you must still file a confirmation statement. This will confirm that all of your records are up to date and that the information we hold on your company is correct.

But, this doesn’t mean that you can report all changes to your company through the confirmation statement. You cannot use the confirmation statement to report changes to:

  • your company’s officers
  • the registered office address
  • the address where you keep your records
  • people with significant control

 

These changes must be filed separately with Companies House.

Time Period


Remember to file a confirmation statement at least once every year.

Your 12 month review period starts on either the date your company incorporated or the date you filed your last confirmation statement.

You have 14 days from the end of your review period to file your statement. Your company and its officers may be prosecuted if you do not file your statement within 14 days of the end of your review period. In addition, your company may be struck off the register and fined up to £5000.

But, you do not have to wait until the end of your review period to file — you can submit a statement at any time during the year. If you file a confirmation statement early, it will start a new 12 month review period.

There are a few simple steps that business owners can take to ensure their companies remain in good standing with the government: 

– Make sure all necessary paperwork and documents are filed on time. 

– Keep track of any changes that have been made to the company, such as new directors or shareholders. 

– Make sure all filings are accurate and up to date with Companies House. 

– Ensure that the company is paying its taxes on time and in full.
